Terms of Service
1. Who we are
Layer ("the Service") is operated by AXE Corporation (액스코퍼레이션 주식회사, "AXE", "we"), a company incorporated in the Republic of Korea, Business Registration No. 366-86-03798, with its registered office at 3F #302-A, 55 Gangnam-daero 47-gil, Seocho-gu, Seoul, Republic of Korea. By creating an account or using the Service you agree to these Terms.
2. The Service
Layer lets you upload documents, share them through links, and see section-level reading analytics for those links. Features vary by plan as described on our Pricing page. We may improve or change features over time; we will not materially reduce the core functionality of a paid plan during a paid period without notice.
3. Accounts
You must provide accurate information and keep your credentials secure. You are responsible for activity under your account. Workspace owners are responsible for the members they invite.
4. Subscriptions, billing and taxes
Paid plans are billed in advance on a recurring basis. Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders: Paddle processes payment, issues receipts, applies and remits applicable taxes, and handles billing-related customer service and returns. Prices are stated exclusive of taxes unless indicated otherwise. Refunds are governed by our Refund Policy.
5. Your content
You retain all rights to documents and data you upload. You grant us the limited license needed to host, process, and display that content in order to provide the Service. You are responsible for having the necessary rights to the content you upload and to any recipient contact details you use.
6. Acceptable use
Do not use the Service to distribute unlawful, infringing, or malicious content, to send unsolicited bulk messages, or to interfere with the Service. We may suspend or terminate accounts that violate these rules.
7. Privacy
Our Privacy Policy describes what we collect and how we use it, including the reading analytics shown to document owners. If you share documents with identified recipients, you are responsible for informing them as required by the laws that apply to you.
8. Disclaimer and limitation of liability
The Service is provided "as is" without warranties of any kind to the extent permitted by law. To the maximum extent permitted by law, AXE's aggregate liability arising out of or relating to the Service is limited to the amounts you paid for the Service in the 12 months preceding the claim, and neither party is liable for indirect, incidental, or consequential damages. Nothing in these Terms excludes liability that cannot be excluded by law.
9. Termination
You may cancel at any time; paid access continues until the end of the current billing period. We may terminate or suspend the Service for material breach of these Terms. After account deletion we remove your content within 30 days, except where retention is required by law.
10. Governing law
These Terms are governed by the laws of the Republic of Korea. Disputes are subject to the exclusive jurisdiction of the Seoul Central District Court, unless mandatory consumer law provides otherwise.
11. Changes
We may update these Terms; material changes will be announced in the Service or by email before they take effect. Continued use after the effective date constitutes acceptance.
